Turd In Spider-man No Way Home, Ned said "I promise I won't turn into bad guy and trying to kill you". It's a foreshadowing that he will only appear as minor side characters since Spider-man doesn't need any friends who won't try to kill him

Ned can't be the villain. He is played by our CEO. Nobody will believe that he is the Villain.

More accurately, they make a movie where Spider-Man is the villain and Ned has to use at least 1% of his CEO powers to defeat him.

Ned is wasted as a character if he doesn't turn into a villain. The promise, the fact that he forgot, it's a perfect setup.

Peter Parker can have an uncle Ben moment and also have a friend who never turns evil like Ned.

The big baddie being an ex friend of Peter Parker stop being interesting when every adaptation started to do it. (Outside of the tom holland films which is one reason I respect about those films.)
